Participation in our Drop Shipping Program and your use of this web site and all services
provided by Window Toppers, Inc. , requires that all participants adhere to our guide lines
listed below, and understand the terms of service offered by Window Toppers, Inc.
For all matters of clarification, each entity contained in this legal notice below will be referred
to as...
Our Company - Window Toppers, Inc.
Your Business - Participating Drop Shipping Merchant
Your Customer - End User

Drop Shipping Program Guide Lines:

Advertisement Areas :
- Window Toppers grants you permission to advertise "our products" for sale directly through
your retail business using your business' web site, internet merchant store (example: EBAY),
or mail order catalog.
You may advertise "our products" in any area or marketing channel except the following
prohibited areas. Window Toppers advertises in these areas for our retail web site
www.WindowToppers.com , so it is of no benefit for other merchants to advertise "our
products" in these same areas being that you could not compete with our retail prices.

Reason: Flooding a market place with identical products sold by different merchants only
acts to devalue the uniqueness of these products.

Window Toppers reserves the right to add or change this list of prohibited advertising areas
at any time. It is the responsibility of your business to check this list for changes in the future.

These Prohibited Advertising areas are as follows...
1.) Yahoo! Shopping / Yahoo's merchant product advertisement area.

2.) Froogle / Google Network's merchant product advertisement area.

*You are welcome to advertise your business or any "other products" in these areas, so long
as they are not "our products" which are being advertised.
**Window Toppers only advertises individual products online in these two areas, along with
search engine submission to all major & minor search engines and directories on the world
wide web.
Outside of these two prohibited areas, merchants have free reign of advertising areas on the
internet / world wide web.

Product Representation:
1.) Participants in our Drop Shipping Program are prohibited from "Mis-Representing" our
products as being manufactured by any other entity other than Window Toppers, Inc.
2.) Participants may not mis-lead their customers regarding product style / design, name,
description, content, or care instructions with any information about the product, other than
the information and product images which are provided to you by Window Toppers, Inc.

Terms of Service:
Window Toppers provides our products and services to participants in our Drop Shipping
Program under the following terms outlining use of service.

Order Fulfillment:
1.) Window Toppers can not be held liable for any added fees or charges arising from the
delay in shipping time or non fulfillment of order.
From time to time, manufacturers such as Window Toppers encounter certain problems
which may delay the shipment of an order, or may result in non fulfillment of an order.
Example, but not limited to... Delay , non receiving, or discontinuance of fabric or components
used in the manufacturing process of the products which we offer.

2.) Window Toppers only ships orders via: UPS to addresses located within the United States
of America to the lower 48 states and including the states of Alaska, Hawaii, & Puerto Rico.
Window Toppers does not ship to any outlying entities of the USA where UPS Ground
Delivery Service is not available to, such as... US Virgin Islands, and

Payment:
1.) Participating Drop Shipping Merchants are responsible for providing all payments for
orders placed with us at Window Toppers, Inc which will include the cost of products being
purchased + shipping cost for each order.
2.) Payment must come directly from the Participating Drop Shipping Merchant.
Window Toppers, Inc does not accept payment directly from the End User / Your Customer.

Shipping:
Window Toppers ships all orders using the carrier UPS and their "Ground" Delivery Service.
1.) Charges - Window Toppers is not responsible for any shipping charges. Payment for
shipping charges must be received in full at the time that each order is shipped from our
factory.

2.) Window Toppers shall not be liable for any additional shipping charges / or upgrade to
expedited shipping service resulting from delay in shipment of order or loss or damage of
shipment by UPS.
If UPS should loose or damage an order when shipping, upon Window Toppers following the
proper procedure with UPS for tracking / location of shipment, Window Toppers will replace
the order and re- ship it at no added cost.
* UPS' normal procedure for investigating a missing package may take up to 8 business
days to complete.

3.) Window Toppers shall not be liable for any "Returned Orders" shipping cost for any
reason. A shipment can be returned to Window Toppers from UPS if it cannot be delivered to
the delivery address provided by you.
* Your business shall be responsible for payment of this surcharge at the time that it is
returned to us by UPS. An address correction must be provided from your business before
Window Toppers will attempt to re-ship the package.

Returns:
1.) Window Toppers does not except returns or exchanges directly from end users (your
customers) for any reason.
2.) Window Toppers does not except returns for refund or exchange of items from
participating Drop Shipping Merchants for any reason other than...
- a.) Window Toppers has shipped the wrong item to the end user (your customer).
- b.) End user (your customer) received a damaged item.

3.) Window Toppers shall not be liable for an upgrade to an expedited or other shipping
service resulting from having to re-ship an order because the end user (your customer)
received the wrong item(s) or damaged item(s) .
Upon processing a return received only from the Participating Drop Shipping Merchant, the
replacement order will be shipped in the same manner as the original order using UPS
Ground Delivery Service.

The matter of Returns is a policy set and governed by you, the participating Drop Shipping
Merchant for "your business practice", and is absolutely between your business and the end
user only.
Window Toppers, Inc is not involved in any manner with your return policy.

Recourse :
*Violators of the guide lines and terms of service stated above...
Window Toppers reserves the right to ban / restrict any entity from doing any and all present
and future sales and business transactions with Window Toppers, Inc.
Window Toppers reserves the right to pursue Legal Action against any entity which violates
this agreement / Legal Notice stated above.
*Legal Action may include, and is not limited to...
Court litigation for recovery of lost sales, recovery of lost fees / charges / payments,
deformation of character, copyright and or trademark infringement, and false product
branding.
